These Terms of Service (“Terms”) govern your use of the handpiecemd.com website (the “Site”) and the dental handpiece repair services (the “Services”) provided by Handpiece Parts & Products, Inc. (“Company,” “we,” “us,” or “our”), operating the HandpieceMD website and service. By accessing the Site or using our Services, you (“you” or “Customer”) agree to be bound by these Terms. If you do not agree, please do not use the Site or Services.

1. Repair Services

All repairs are performed by trained technicians using precision-manufactured replacement parts. We provide a nine (9) month warranty on all repairs covering defects in workmanship and materials. The warranty does not cover damage resulting from misuse, accident, improper sterilization, unauthorized modification, normal wear and tear, or use of the handpiece outside its intended purpose. Warranty claims must be submitted by contacting us at repair@handpiecemd.com or (714) 997-4331. Our sole obligation under warranty is to re-repair the handpiece at no additional charge.

2. Estimates and Approval

All repairs begin with a free, no-obligation diagnostic evaluation and written estimate. No repair work will be performed without your prior approval. If additional repairs beyond the initial estimate are identified during the repair process, we will contact you for approval before proceeding. If you decline the estimate, your handpiece will be returned to you via standard shipping at no charge.

3. Pricing and Payment

Payment is due upon completion of repair unless Net 30 payment terms have been arranged in advance. Net 30 terms are available for qualified dental groups, dental service organizations (DSOs), dental schools, government accounts, and other established accounts upon credit approval. Late payments on Net 30 accounts may be subject to a finance charge of 1.5% per month (18% per annum) or the maximum rate permitted by applicable law, whichever is less. We reserve the right to suspend services for accounts with outstanding balances exceeding 60 days.

4. Shipping

We provide free pre-paid shipping labels for inbound and outbound shipments for standard repairs. Customers are responsible for properly packaging their handpieces for transit. All handpieces must be heat-sterilized (autoclaved) per CDC and OSHA guidelines prior to shipping; handpieces that arrive unsterilized may be returned at the customer’s expense. We are not responsible for loss or damage occurring during inbound transit. We strongly recommend using the insured shipping labels we provide. Return shipments are sent via insured carriers, and risk of loss transfers to the customer upon delivery by the carrier.

5. Health and Safety

By submitting a handpiece for repair, you represent and warrant that the handpiece has been properly sterilized in accordance with CDC and OSHA guidelines and is safe for handling by our personnel. You agree to indemnify and hold us harmless from any claims, injuries, or damages resulting from the submission of improperly sterilized instruments.

6. Turnaround Time

Most standard repairs are completed within 24 to 48 hours of receipt at our facility. Turnaround times are estimates only and are not guaranteed. Complex or specialty repairs, parts availability, or volume surges may require additional time. We will notify you of any material delays.

7. Abandoned Property

If you decline a repair estimate or fail to respond to our communications regarding your handpiece, we will make reasonable efforts to contact you over a period of ninety (90) days from the date of our last communication. After 90 days without response, the handpiece will be deemed abandoned, and we reserve the right to dispose of it in accordance with California Civil Code § 1993 et seq. No refund or compensation will be provided for abandoned property.

8. Intellectual Property

All content on the Site, including text, graphics, logos, icons, images, software, and the overall design and arrangement thereof, is the property of Handpiece Parts & Products, Inc. and is protected by United States copyright, trademark, and other intellectual property laws. The HandpieceMD name, logo, and tagline “Precision Repair. American Made.” are trademarks of Handpiece Parts & Products, Inc. You may not reproduce, distribute, modify, or create derivative works from any content on this Site without our prior written consent.

9. Website Disclaimer

The information provided on this Site is for general informational purposes only and does not constitute professional dental, medical, legal, or equipment advice. While we strive for accuracy, we make no representations or warranties of any kind, express or implied, regarding the completeness, accuracy, reliability, suitability, or availability of the information, products, or services contained on the Site. Any reliance you place on such information is strictly at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO OUR SERVICES OR THIS SITE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR THE SPECIFIC REPAIR GIVING RISE TO THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST REVENUE, LOST PROFITS, LOSS OF PATIENTS, PRACTICE DOWNTIME, LOSS OF DATA, OR COST OF SUBSTITUTE EQUIPMENT, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. This limitation does not apply to liability arising from gross negligence or willful misconduct, or to the extent such limitation is prohibited by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Handpiece Parts & Products, Inc., its officers, directors, employees, agents, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any third-party rights, including intellectual property rights.

12. Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or our Services, the parties agree to first attempt to resolve the dispute through good-faith negotiation for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, either party may initiate mediation administered by a mutually agreed-upon mediator in Orange County, California, with the costs shared equally. If mediation is unsuccessful, either party may pursue litigation as provided in Section 13.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Orange County, California, and you irrevocably consent to the personal jurisdiction and venue of such courts.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms to the extent that such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, supply chain disruptions, labor disputes, power failures, or acts of terrorism.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of the Company.

17. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.

18. Entire Agreement

These Terms, together with our Privacy Policy and Accessibility Statement, constitute the entire agreement between you and Handpiece Parts & Products, Inc. regarding your use of this Site and our Services, and supersede all prior and contemporaneous agreements, proposals, representations, and understandings, whether oral or written.

19. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this page.
